The Swatch Group – How to Vote

We believe a large reason the status quo at Swatch has remained in place so long is the burdensome voting process the company has put in place around its Annual General Meeting (AGM). This view is supported by the fact that at last year’s AGM, only approximately one-third of the shareholders’ economic interest was represented in the vote.

We encourage all Swatch shareholders to vote at the AGM set to be held 12-May 2026, and as part of our ongoing efforts ensure that the voices of Swatch’s minority shareholders are heard by management and the board, we have prepared a clear and practical “how to vote” guide.

For a shareholder to participate in voting at the Swatch AGM, it is necessary to follow a specific process that is outlined below prior to the closing of the Share Register on 22-April 2026. The process differs depending on whether a shareholder owns Registered Shares or Bearer Shares.

How does a shareholder know what type of Swatch shares are owned? The Swatch Group has two economically different but similarly voting shares classes: Registered Shares and Bearer Shares. Both carry one vote, but Bearer Shares have a nominal value roughly 5 times higher than Registered Shares.

There are two distinct ticker symbols and each ticker trades at a different price:

  • Registered Share Ticker: UHRN SW (ISIN CH0012255144), Closing Price as of 30-December 2025: CHF 34.46
  • Bearer Share Ticker: UHR SW (ISIN CH0012255151), Closing Price as of 30-December 2025: CHF 168.25

In the links below, we outline the process for both classes of shares with helpful appendices. Note that the 2025 AGM was held in accordance with art. 12 ff. of the Articles of Association virtually, without physical presence of the shareholders. These instructions are based on the 2025 AGM procedure and may be subject to change and amendment, particularly in the case that shareholders can physically attend the 2026 AGM (which is not known yet).
